1. Purpose of these conditions

The purpose of these general conditions of use (hereinafter the “CGU”) is to define the terms of access and use of the website. fidustra.com (hereinafter the “Site”).

By accessing the Site and using it, you acknowledge having read these T&Cs and accept them without reservation.

The information available on the Site is of an exclusively informative and general nature. They do not in any way constitute:

6. Intellectual property

All elements appearing on the Site (texts, images, logos, graphic charter, icons, layouts, videos, etc.) are protected by intellectual property law and remain the exclusive property of Fidustra or its partners.

9. Use of the company creation form

The company creation form available on the Site allows you to collect preliminary information on your entrepreneurial project in order to prepare personalized support.

The information entered does not constitute definitive validation of the creation of a company. Any company creation will be subject to in-depth examination and formal validation by Fidustra, in conjunction with the competent authorities and stakeholders (banks, notaries, administrations, etc.).

9.1. Deposit, advance payments and lack of reimbursement

As part of the company creation service (and, where applicable, associated services: domiciliation, accounting, taxation, payroll, advice, etc.), Fidustra may request payment of a deposit and/or advance fees before starting processing of the file.

These payments cover in particular the preparatory work, thefile analysis, the exchanges, the administrative constitution, as well as the regulatory controls (notably KYC/AML) and, more generally, the time and resources mobilized.

Consequently, amounts paid as a deposit and/or advance payment are non-refundable., including in cases where the creation of the company is not completed, in particular in the case of:

  • abandonment of the project by the client;
  • failure to transmit necessary documents or information;
  • non-compliance of the file or impossibility of finalization (e.g. legal, regulatory constraints, KYC/AML);
  • refusal or delay on the part of a third party (bank, notary, administration, etc.).

No legal creation is carried out without formal validation of the file, signature of the required documents and, where applicable, agreement of the third parties concerned. Advance payments do not constitute a guarantee of results, but pay for the diligence undertaken by Fidustra.

10. Modification of conditions

Fidustra reserves the right to modify, at any time, these T&Cs in order to adapt them to developments in the Site, its services or current legislation.

The version in force is that available on the Site on the date of your connection.

11. Applicable law and competent jurisdiction

These T&Cs are governed by Luxembourg law.

In the event of a dispute relating to the interpretation or execution of these terms, and in the absence of an amicable resolution, the competent courts of the Grand Duchy of Luxembourg will have sole jurisdiction.
