Create my company with FidustraThe Luxembourg law on commercial companies (LSC) requires the notarial deed for legal forms with subscribed and paid-up capital upon incorporation. The notary fulfills three essential functions:
Status authentication: The notary gives legal force and enforceability to the company's statutes.
Capital verification: It certifies the deposit of the share capital into the blocked account opened in the bank.
Filing with the RCS: It transmits the act of incorporation to the Trade Register for official publication.
For forms without notarial obligation (SARL-S, SCS, SNC), the statutes can be under private signature — Fidustra draws them up directly. For SCIs, notarial intervention is recommended in the presence of contributions in kind or real estate.
Notary fees vary depending on the capital and the complexity of the statutes (1,500 – 4,000 € excluding tax on average).

The notary files the deed with the RCS in the following days. The company is registered and receives its identification number. The capital is then released to the current account.
