D0 — Before any action
Fidustra analyzes your activity, your situation (resident / non-resident), the number of partners and the capital available to recommend the most suitable structure. This step is decisive — a poor choice of structure leads to costly transformation formalities later.
D+1 to D+3 — 1 to 2 days
Fidustra checks the availability of the name in the Trade Register (RCS / LBR). The name must be distinctive, available and include the legal suffix of the chosen structure (S.À R.L., S.A., etc.). Fidustra submits up to 3 alternatives if necessary.
D+3 to D+10 — 5 to 10 working days
For structures with minimum capital (SARL: €12,000, SA: €31,000), the capital must be deposited in a blocked account before signing the statutes. Fidustra facilitates the opening of an account with its partner banks — an often long step for non-residents, accelerated thanks to the preparation of the bank file by Fidustra.
D+10 to D+20 — 5 to 10 working days
For SARL, SA and Holding Soparfi, the statutes must be drawn up and authenticated by a notary. Fidustra prepares the draft statutes in advance and sends them to the partner notary for finalization and signature. For SARL-S, SCS, SNC and SCI, the statutes can be under private signature — Fidustra drafts them directly.
D+15 to D+25 — Parallel to step 4
Most commercial activities in Luxembourg require an establishment authorization issued by the Direction des Classes Moyennes (or another authority depending on the sector: Direction de la Santé, CSSF, etc.). Fidustra prepares and submits the complete file including proof of qualification, good repute and address.
D+20 to D+35 — 1 to 5 working days
Once the statutes have been signed and authorization received, Fidustra proceeds with the registration and publication in the Trade Register (RCS). The company receives its identification number. VAT registration and start of activity declarations complete this last step — entirely managed by Fidustra.

Step 1 (address) · Permanent
Provides the necessary Luxembourg legal address upon incorporation. Reception and retransmission of official mail. The domiciliation is maintained after creation as long as the company does not have its own office.
Step 3 Capital & account
Opens the professional account and receives the blocked capital deposit. Issues the blocking certificate given to the notary. Fidustra prepares the banking file to speed up the opening — often the longest step for non-residents.
Step 5 Authorization
Luxembourg authority issuing the establishment authorization. Verifies professional qualifications, good repute and the reality of the address. Fidustra files the complete file on your behalf.
Step 6 · Registration
