How to choose and check
the name of your company in Luxembourg

The company name must be distinctive, available and include the legal suffix of your structure. Here are the rules to know, how to check availability and what Fidustra takes care of for you.

The rules in Luxembourg

Luxembourg is relatively flexible on the choice of company names, but some basic rules apply. Non-compliance results in refusal of registration with the RCS.

  • Mandatory legal suffix
    Each structure requires a specific suffix in the official name (e.g. “S.A.R.L.” for a SARL).
  • Any language allowed
    French, English, Luxembourgish, German or any other language: Luxembourg does not impose a language for the name.
  • Same or similar name prohibited
    A name identical to or too close to a company already registered with the RCS will be refused.
  • Prohibited protected terms
    The words "bank", "insurance", "investment fund", "Luxembourg" and certain other terms are reserved and require special authorization.
  • Misleading name prohibited
    The name must not mislead as to the real activity or suggest an official affiliation (State, European Union, etc.).

How to check availability

Two levels of verification are recommended: availability in the Trade Register and protection of the brand at European level.

Research at RCS Luxembourg

The Luxembourg Trade Register (LBR) allows a search by name on its LexNow portal. Fidustra carries out this preliminary verification before any action.

Brand verification (EUIPO / OEPI)

A name available at the RCS may be a registered trademark. If you plan to trade under this name, an EUIPO (European Trademark) check is recommended before incurring any set-up fees.

A good company name is memorable, available on the internet (domain name) and compatible with your future development. Avoid names that are too descriptive or too generic.

  • Think about your future markets — a French name can limit you internationally

Writes the statutes with the validated name. Its intervention is obligatory for SARL, SA and Holding Soparfi. The notary then submits the statutes to the RCS for official publication.

Provides the legal address which will appear in the statutes and in the RCS. The address is inseparable from the official name of the company — it must be located in Luxembourg.

Bank partner

Opens the professional account in the name of the company — including its official name — and receives the deposit of the incorporation capital before signing the statutes.

Authorization

Middle Classes Department

Issues the establishment authorization in the name of the company. The official name is verified during the examination of the file.

Registration

Trade Register (RCS)

Officially registers the company name. It is at this stage that availability is definitively confirmed — hence the importance of the preliminary verification carried out by Fidustra.
